Panasonic intends to acquire the shares of the air conditioning*1 business division of Systemair AB, Sweden

Panasonic Corporation today announced that its Heating & Ventilation A/C Company intends to acquire the commercial air conditioning business division of Systemair AB, the world's leading manufacturer of ventilation and commercial air conditioning, for an company of 100 million euros.

An agreement has been reached for the purchase of the shares of Systemair Srl and Tecnair SpA and, in due course, of the business carried out by the employees of Systemair GmbH in Frankfurt, Germany. The transfer of sales personnel of Systemair GmbH is subject to consultations with human resources in Germany.

In addition, Panasonic has submitted an offer to acquire all the shares in Systemair AC SAS and expects Systemair to accept the offer after consultations with human resources in France.

After completing the necessary procedures, the acquired entities will be managed by consolidating them within the commercial air conditioning business of Panasonic.

European situation

In Europe, a key market for Panasonic, there is strong interest in environmental protection and measures to address climate change, and major efforts are being made to transition towards a decarbonised society. In addition to the growing demand for energy efficient and other greener products, HFCs used as refrigerants in air conditioners have an impact on global warming. This is why the Kigali amendment to the Montreal Protocol*2 and the European regulations on F-gases*3 require the switch to refrigerants with a lower impact on the greenhouse effect.

Synergies

In the air conditioning sector, Systemair produces heat pump air-water conditioners, which supply hot and chilled water by exploiting the heat of the external air and transferring it to the internal spaces*4 of the buildings through a hydronic circuit, in this way the least quantity of refrigerant gas is totally contained in the chiller unit.

With the consolidation of the three Systemair air conditioning companies, Panasonic will create new development, production, sales and maintenance facilities for the commercial air conditioning business and create higher value-added solutions for hot water supply, heating and air conditioning of environments as a result of the synergy between the two companies In addition, Panasonic will respond to customer needs by expanding the range of hydronic systems with more environmentally friendly units, adding them to the current portfolio of products and solutions thus accelerating ESG management (environmental, social and governmental) in Europe.
